Terms of Service

1.Acceptance of these Terms

These Terms of Service (the “Terms”) form a binding agreement between you and CommishCast (“CommishCast,” “we,” “us,” or “our”) governing your access to and use of the CommishCast website, applications and related services (collectively, the “Service”).

By creating an account, joining a league, or otherwise using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and by the Acceptable Use Policy, Privacy Policy, Cookie Policy and Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

2.Description of the Service

The Service produces audio programming (each, an “Episode”) about a fantasy football league (a “League”). CommishCast retrieves League data — including matchups, scores, rosters, transactions and standings — from the third-party fantasy platform on which the League is hosted, and generates Episodes from that data using automated systems, including synthetic voices identified as Knox and Remy.

Episodes are generated automatically. A Commissioner may submit notes before an Episode is generated, may edit the generated script before it is recorded, or may take no action at all.

We may modify, suspend or discontinue any part of the Service at any time. We will provide notice of material changes where practicable.

3.Eligibility and accounts

The Service supports two account types. A Commissioner creates a League and is the party responsible for payment. A Member joins an existing League by invitation and is not charged.

You represent and warrant that: if you are a Commissioner, you are at least 18 years of age and have the legal capacity to enter into a binding contract; and if you are a Member, you are at least 13 years of age and, if under 18, have the consent of a parent or legal guardian.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us promptly of any unauthorized use. You may not sell, transfer or assign your account, and you may not maintain multiple accounts for the purpose of circumventing these Terms.

4.Fees

The fee for the Service is the amount displayed at checkout when you register a League, charged once per season. It is not a recurring mid-season subscription. Members are not charged. Where you operate more than one League, each League is subject to a separate fee.

We may change the fee for future seasons. A season you have already been charged for is not affected, and section 6 governs notice before any further charge.

All fees are stated in United States dollars and are exclusive of any applicable taxes, which you are responsible for. You authorize us and our payment processor to charge the payment method on file for all amounts due.

5.Free period and first charge

A payment method is collected at signup but is not charged until the later of (a) September 16, 2026 or (b) 5 days after your first weekly Episode is published (your “Charge Date”). Episodes are published weekly, so this guarantees at least one full Episode before any charge, whichever day of the week you register on.

You will receive at least one weekly Episode before your Charge Date, and a draft show in addition where your League registers before it drafts. Your Charge Date is displayed on your billing page.

If you cancel before your Charge Date, no charge is made. See the Refund Policy for treatment after that date.

6.Renewal

A season fee covers one season only and does not auto-renew without notice. Prior to any subsequent season, we will notify you by email at the address associated with your account before any further charge is made, and you may cancel before that charge occurs.

7.Failed payment

If a charge is declined, we will retry the payment method and notify you by email. Your League will retain read-only access for 7 days from the first failed attempt. If payment is not successfully completed within that period, the League will be canceled and Episode production will cease.

8.Cancellation and data retention

A Commissioner may cancel a League at any time from the dashboard. Cancellation stops the production of future Episodes. Episodes already produced remain accessible for the retention period below.

Following cancellation, we retain League data for 30 days, after which it is deleted. Your email address may be retained beyond that period for product and marketing communications; you may opt out at any time or request deletion. See the Privacy Policy.

9.Your content and license to us

“User Content” means any material you submit to the Service, including commissioner notes, league insights, nicknames, weekly picks and the commentary attached to them, draft comments, season predictions, submissions to your Commissioner, and Episode ratings.

You retain ownership of your User Content. You grant CommishCast a worldwide, non-exclusive, royalty-free, transferable license to host, store, reproduce, modify, adapt, translate, publicly perform and create derivative works from your User Content for the purpose of operating and providing the Service, including generating, recording, distributing and storing Episodes for your League. This license continues for as long as we retain the content under section 8 and, in respect of Episodes already produced, for as long as those Episodes remain available.

You represent and warrant that you own or otherwise control all rights in your User Content, and that it does not infringe the rights of any third party or breach the Acceptable Use Policy.

We are not obliged to monitor User Content, but we may review, refuse, remove or refuse to generate an Episode from any User Content at our discretion.

10.Ownership of the Service; license to you

The Service, including all software, text, design, audio, host voices, host characters, trade marks and other materials, is owned by CommishCast or its licensors and is protected by intellectual property law. Nothing in these Terms transfers ownership of any of it to you.

Subject to your compliance with these Terms, we grant you a limited, personal, revocable, non-transferable and non-exclusive license to access and use the Service. You may share Episodes produced for your League with the members of that League and with others for personal, non-commercial purposes. You may not sell, license, syndicate or commercially exploit an Episode, or use one to train a machine learning model, without our prior written consent.

You may not, and may not permit any third party to:

• reverse engineer, decompile or attempt to derive the source code of the Service
• use any automated means to access, scrape or extract data from the Service
• circumvent any access control, rate limit or security measure
• resell or otherwise make the Service available to a league that has not paid for it
• use the Service in a manner that interferes with its operation or with any other user

11.Content standards and conduct

Episodes are generated from League activity and from User Content. Trash talk, roasting and competitive commentary directed at fantasy performance are permitted and are a normal use of the Service. Hate speech, harassment, and content sexualizing a minor are prohibited without exception.

The complete standards are set out in the Acceptable Use Policy, which forms part of these Terms. A Commissioner is responsible for User Content submitted within their League and for what they elect to pass through to Episode generation.

12.Third-party platforms

The Service integrates with third-party fantasy platforms operated by other companies under their own terms. We do not control those platforms, we do not warrant their availability or the accuracy of the data they provide, and they may change, restrict or withdraw access at any time. Where a platform becomes unavailable, we may be unable to produce Episodes for Leagues that depend on it, and such unavailability does not constitute a failure to deliver on our part.

13.Copyright complaints

If you believe material on the Service infringes your copyright, send a notice through the contact form identifying the work, the material claimed to infringe and its location, your contact details, a statement of good-faith belief that the use is unauthorized, and a statement made under penalty of perjury that the notice is accurate and that you are authorized to act. We remove infringing material and terminate repeat infringers.

14.Suspension and termination

We may suspend or terminate your account or access to the Service, in whole or in part, with or without notice, where you breach these Terms or the Acceptable Use Policy, where required by law, or to prevent harm to other users or to the Service.

Where a breach involves targeted harassment, credible threats, or any content involving a minor, we may terminate immediately and without refund.

Sections 9, 10, 15, 16, 17, 18, 19 and 21 survive termination.

15.Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, CommishCast disclaims all warranties, whether express, implied, statutory or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that any Episode will be produced on schedule, or that any Episode will be accurate. Episodes are generated by automated systems and may contain factual errors. No content within an Episode constitutes advice of any kind, whether fantasy sports, financial, legal or otherwise.

Some jurisdictions do not allow the exclusion of implied warranties, in which case the above exclusions apply to the fullest extent permitted in your jurisdiction.

16.Limitation of liability

To the fullest extent permitted by law, CommishCast shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to these Terms or your use of the Service, whether based in contract, tort, strict liability or any other theory, and whether or not we have been advised of the possibility of such damages.

In no event shall CommishCast’s total aggregate liability for all claims arising out of or relating to these Terms or the Service exceed the total amount you paid to CommishCast in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation or exclusion of certain damages, in which case these limitations apply to the fullest extent permitted in your jurisdiction.

17.Indemnification

You agree to indemnify, defend and hold harmless CommishCast and its officers, directors, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or relating to: (a) your access to or use of the Service; (b) your User Content; (c) your breach of these Terms or of the Acceptable Use Policy; (d) your violation of any applicable law or of the rights of any third party; and (e) any activity conducted through your account.

Where you are a Commissioner, this includes claims arising from User Content submitted within your League that you elected to pass through to Episode generation.

18.Dispute resolution and arbitration

Before commencing any formal proceeding, you agree to contact us through the contact form and attempt to resolve the dispute informally. We will do the same. If the dispute is not resolved within 30 days, either party may proceed under this section.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by final and binding individual arbitration, and not in a class, consolidated or representative action. You and CommishCast each waive the right to a trial by jury and the right to participate in a class action.

This section does not apply to claims brought in small claims court, or to claims seeking injunctive relief for infringement of intellectual property.

You may opt out of this arbitration agreement by notifying us through the contact form within 30 days of first accepting these Terms, stating your name, the email address on your account, and that you are opting out of arbitration. Opting out does not affect any other part of these Terms.

19.Governing law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration under section 18, the state and federal courts located in New Jersey shall have exclusive jurisdiction, and you consent to that jurisdiction and venue.

20.Changes to these Terms

We may update these Terms from time to time. Where a change materially affects the fees you pay, your rights, or our use of your data, we will notify you by email at the address associated with your account before the change takes effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

21.General

These Terms, together with the policies incorporated by reference in section 1, constitute the entire agreement between you and CommishCast regarding the Service and supersede any prior agreement on the same subject.

If any provision is held unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, agency or employment relationship.
